1. Description of ProcurementThis Purchase Order is issued by Al-Nile Hospitality & Catering Services LLC, a registered entity operating in Sudan Khartoum, to procure the professional services of a qualified Chef for a fixed-term engagement. - Commencement Date: The Chef shall report to the Al-Nile Hospitality facility in Sudan Khartoum no later than 1 August 2025. Failure to commence within 14 calendar days of this date shall render this Purchase Order void at the sole discretion of the buyer.
- Contract Duration: The engagement period is twelve (12) months from the commencement date, renewable by mutual written agreement. The Chef may terminate the engagement with a 30-day written notice; the buyer may terminate with a 60-day written notice or immediately in cases of gross misconduct.
- Payment Schedule: Payment shall be made in monthly installments via wire transfer to the supplier's designated bank account. The first payment is due within 15 business days of the Chef's confirmed arrival in Sudan Khartoum. All payments are subject to the withholding tax provisions of the Sudanese Income Tax Act.
- Work Permits and Legal Compliance: The supplier (GCTA) is responsible for securing all necessary work permits, professional licenses, and residence registrations for the Chef in accordance with the laws of the Republic of the Sudan. The buyer shall provide all supporting documentation required by the Khartoum Municipal Authority and the Sudanese Ministry of Labor.
- Performance Standards: The Chef shall adhere to all food safety regulations enforced by the Sudanese Ministry of Health, maintain HACCP-compliant kitchen practices, and submit a written performance report to the buyer's General Manager on the last working day of each month.
- Intellectual Property: All menu designs, recipes, and culinary methodologies developed by the Chef during the engagement in Sudan Khartoum shall be the exclusive property of Al-Nile Hospitality & Catering Services LLC.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum, Sudan, in accordance with the rules of the Sudanese Arbitration Center. The governing law shall be the laws of the Republic of the Sudan.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, government sanctions, or pandemics affecting operations in Sudan Khartoum.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the financial terms of this Purchase Order and any proprietary information exchanged during the engagement.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of the Chef services described herein, to be performed at the buyer's premises in Sudan Khartoum.
