This Purchase Order governs the full scope of engagement, compensation, and operational obligations for the duration of the contract period.

1. This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. The vendor must confirm acceptance in writing via email to [email protected] referencing Purchase Order No. PO-THB-2025-04782.
2. The Chef engaged under this Purchase Order must hold a minimum of ten (10) years of professional culinary experience, including at least three (3) years in a senior or executive Chef role. The Chef must demonstrate proficiency in Thai cuisine, Southeast Asian flavors, and international fine dining techniques suitable for the Thailand Bangkok hospitality market.
3. All services rendered under this Purchase Order shall be performed in compliance with the Thai Labor Protection Act B.E. 2541 (1998), the Food Safety and Sanitation Act, and all applicable regulations of the Bangkok Metropolitan Administration governing food service establishments in Thailand Bangkok.
4. The vendor shall ensure that the Chef obtains all necessary work permits, Non-Immigrant B visas, and health certifications prior to commencing duties in Thailand Bangkok. Any delays caused by incomplete documentation shall not extend the contract commencement date.
5. Payment shall be made in Thai Baht (THB) via bank transfer to the vendor's designated account within thirty (30) days of receipt of a valid tax invoice. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Thai commercial law.
6. The Chef shall be subject to a non-compete clause for a period of six (6) months following the termination of this Purchase Order, restricting the Chef from providing similar services to competing establishments within a 10-kilometer radius of the Thailand Bangkok premises.

9. Disputes arising from this Purchase Order shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute. The governing law shall be the laws of the Kingdom of Thailand.
10. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Chef services for Thailand Bangkok operations and supersedes all prior negotiations, representations, or agreements.
