TERMS AND CONDITIONS- Delivery Location: All goods listed on this Purchase Order shall be delivered to the Bayou Culinary Solutions kitchen facility located at 4820 Westheimer Road, Suite 310, United States Houston, Texas 77056. Delivery must be scheduled between 7:00 AM and 10:00 AM on the required delivery date to avoid disruption to the Chef's morning prep schedule.
- Quality Assurance: The Chef of record, Marcus Delgado, reserves the right to inspect all items upon delivery. Any item that does not meet the professional standards outlined in this Purchase Order, including but not limited to knife sharpness, uniform stitching quality, and equipment functionality, shall be returned at the vendor's expense within five (5) business days.
- Payment Terms: Payment of $12,072.67 shall be made via ACH transfer within thirty (30) days of the date of invoice, provided all items have been accepted by the Chef and the receiving manager. Late payments shall accrue interest at 1.5% per month.
- Warranty: All equipment and Chef-specific tools must carry a minimum of a two (2) year manufacturer's warranty. Uniforms and apparel items must be free from manufacturing defects for a period of ninety (90) days from the date of delivery in United States Houston.
- Compliance: All food-contact items and Chef uniforms must comply with the Texas Department of State Health Services regulations and the United States FDA food safety guidelines applicable to commercial kitchen operations in the United States Houston metropolitan area.
- Substitutions: No substitutions of items on this Purchase Order are permitted without prior written approval from the Chef and the Procurement Manager. Any proposed substitution must be submitted at least ten (10) business days before the required delivery date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved under the laws of the State of Texas, with jurisdiction in the Harris County courts, United States Houston, Texas.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather events common to the United States Houston region, natural disasters, or government-mandated closures.
