1. Acceptance: This Purchase Order (PO-2025-MIA-04872) constitutes a binding offer to purchase the Chef equipment, uniforms, and provisions listed above. Acceptance by the vendor is confirmed by written acknowledgment or shipment of goods. All items are to be delivered to the designated United States Miami facility no later than July 1, 2025.
2. Quality Standards: All Chef-related items must meet or exceed industry standards for commercial kitchen use. Uniforms must be pre-washed and free of defects. Knives and cutting tools must be certified food-safe and comply with FDA regulations applicable in the State of Florida, United States Miami jurisdiction.
3. Delivery: The vendor shall deliver all Purchase Order items to the shipping address listed above in United States Miami. Delivery must occur between 8:00 AM and 4:00 PM, Monday through Friday. The vendor is responsible for all freight, insurance, and risk of loss until goods are received and signed for by the Head Chef or designated representative at the Miami Culinary Solutions facility.
4. Inspection and Rejection: Miami Culinary Solutions reserves the right to inspect all delivered items within five (5) business days of receipt. Any Chef equipment found to be damaged, defective, or non-conforming to the specifications in this Purchase Order shall be rejected at the vendor's expense for replacement or refund.
5. Payment: Payment of the total Purchase Order amount of $11,628.74 USD shall be made via ACH transfer to the vendor's designated bank account within thirty (30) calendar days of the invoice date, provided all items have been accepted. Late payments shall accrue interest at 1.5% per month.
6. Cancellation: This Purchase Order may be cancelled in whole or in part by written notice prior to the vendor's shipment of goods. Cancellations after shipment shall be subject to a 15% restocking fee on non-custom items.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this Purchase Order shall be resolved in the courts of Miami-Dade County, United States Miami, Florida.
8. Compliance: The vendor warrants that all Chef products comply with applicable federal, state, and local regulations, including but not limited to OSHA workplace safety standards, Florida Department of Agriculture and Consumer Services food safety codes, and United States Miami municipal business ordinances.
NOTE: This Purchase Order was prepared specifically for the onboarding of a new Chef team at Miami Culinary Solutions' flagship restaurant in United States Miami. All uniform sizes and quantities are based on the confirmed roster of 25 Chef staff members. The Head Chef, Marcus Delgado, has approved the equipment specifications.
