- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Purchase Order related to Chef services rendered in San Francisco shall be subject to the exclusive jurisdiction of the Superior Court of San Francisco County, California.
- Service Performance: The Chef and all associated culinary personnel shall perform all duties in accordance with the highest professional standards expected in the San Francisco hospitality industry. All services shall be rendered at the buyer's facility located at 1425 Market Street, San Francisco, United States, unless otherwise specified in writing.
- Compliance: The Chef and all staff shall maintain valid California food handler permits, current ServSafe certifications, and full compliance with the San Francisco Department of Environmental Health food safety codes. The supplier shall bear all costs associated with maintaining these credentials throughout the term of this Purchase Order.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be submitted to the Accounts Payable department of Golden Gate Culinary Services, Inc., San Francisco, United States. Late payments shall accrue interest at a rate of 1.5% per month as permitted under California Commercial Code Section 2304.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. - Confidentiality: All menus, recipes, supplier lists, and operational strategies developed under this Purchase Order shall remain the confidential property of the buyer. - Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, natural disasters (including but not limited to seismic events common to the San Francisco region), government orders, or other events beyond reasonable control.
- Entire Agreement: This Purchase Order, together with any attached exhibits and the supplier's standard terms of service, constitutes the entire agreement between the parties regarding the Chef services described herein.
