The Buyer requires the engagement of a senior-level Chef with a minimum of fifteen (15) years of professional experience in international fine dining, Central Asian cuisine, and large-scale banquet operations. The Chef shall be responsible for menu development, kitchen management, staff supervision, quality control, and the overall culinary direction of the establishment situated in Uzbekistan Tashkent.

5.1 Payment Terms: Payment for this Purchase Order shall be made in two installments. The first installment of fifty percent (50%) of the Grand Total shall be due within fifteen (15) business days of the Chef's confirmed arrival in Uzbekistan Tashkent. The second installment of fifty percent (50%) shall be due upon successful completion of the six-month performance evaluation period.

5.2 Contract Duration: The Chef's engagement under this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement between the Buyer and the Supplier.

5.3 Work Location: The Chef shall perform all duties at the Buyer's premises located at 14 Amir Temur Avenue, Tashkent, Uzbekistan. The Chef is required to be physically present in Uzbekistan Tashkent for a minimum of five (5) days per week, with a standard working schedule of 10:00 to 22:00 on service days.

5.4 Visa and Work Permit: The Buyer shall be responsible for obtaining and maintaining all necessary work permits, residence registrations, and visa documentation for the Chef in accordance with the immigration laws of the Republic of Uzbekistan. The Supplier shall provide all supporting documentation required for the Chef's legal employment in Uzbekistan Tashkent.

5.5 Intellectual Property: All menus, recipes, culinary techniques, and operational procedures developed by the Chef during the term of this Purchase Order shall be the exclusive property of the Buyer. The Chef shall not replicate or disclose proprietary culinary content to any third party without prior written consent.

5.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the Chef shall be compensated for all services rendered up to the date of termination, and the Buyer shall be entitled to a pro-rata refund of any pre-paid amounts not yet utilized.

5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan Tashkent, in accordance with the rules of the Tashkent International Arbitration Center.

5.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Uzbekistan Tashkent.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Chef engagement in Uzbekistan Tashkent.

This Purchase Order (PO-UZ-TSK-2025-04782) is valid for a period of sixty (60) days from the date of issue. All references to Uzbekistan Tashkent in this document denote the city of Tashkent, Republic of Uzbekistan, as the primary operational jurisdiction. The Chef's performance shall be evaluated quarterly against the key performance indicators established in the supplementary Service Level Agreement attached hereto as Appendix A.
