- Acceptance: This Purchase Order becomes binding upon written acceptance by the supplier within ten (10) business days of the date of issue. The supplier must confirm in writing their ability to source and place a qualified Chef meeting all specified criteria for the Vietnam Ho Chi Minh City location.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of the Chef's employment contract, 40% upon the Chef's arrival and commencement of duties in Vietnam Ho Chi Minh City, and 30% upon successful completion of the first 90-day probationary period. All payments shall be made via bank transfer to the supplier's designated account in VND.
- Compliance: The supplier guarantees that the Chef shall comply with all Vietnamese labor laws, immigration regulations, and food safety standards as enforced in Vietnam Ho Chi Minh City. All work permits, visas, and health certificates shall be obtained prior to the Chef's arrival.
- Quality Assurance: The Chef shall maintain a minimum guest satisfaction rating of 90% as measured by the hotel's internal review system. Failure to meet this benchmark for two consecutive quarters shall trigger a formal review and potential replacement under Item 5 of this Purchase Order.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the Chef's compensation, and all proprietary menu formulations developed during the contract period in Vietnam Ho Chi Minh City.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of early termination by the buyer without cause, a pro-rata payment for the remaining contract period shall be due. Termination for cause (gross misconduct, health disqualification) shall be effective immediately.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes shall be resolved through arbitration at the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Vietnam Ho Chi Minh City.
