This Purchase Order is issued by AquaChem Process Solutions Pty Ltd to procure the professional services of a qualified Chemical Engineer to be deployed at our primary processing facility located in Australia Brisbane, specifically at the South Brisbane Industrial Precinct, 150 River Street, South Brisbane, QLD 4101. The Chemical Engineer shall provide full-time on-site technical support, process optimisation, and regulatory compliance oversight for a period of twelve (12) months, commencing 1 July 2025 and concluding 30 June 2026, subject to mutual renewal agreement.

The Chemical Engineer engaged under this Purchase Order must hold a minimum of a Bachelor of Engineering (Chemical) degree accredited by Engineers Australia, possess a valid Professional Engineer (PE) registration with Engineers Australia, and demonstrate a minimum of eight (8) years of post-qualification experience in process plant operations, reactor design, and chemical manufacturing within the Australian regulatory framework. The Chemical Engineer shall be required to comply with all applicable Queensland state legislation, including the Work Health and Safety Act 2011 (Qld), the Environmental Protection Act 1994 (Qld), and the National Environment Protection (Industrial Waste Resources) Measure.

TERMS AND CONDITIONS
  1. This Purchase Order constitutes a binding agreement between AquaChem Process Solutions Pty Ltd and ChemPro Engineering Consultants Pty Ltd upon written acceptance by both parties. All services shall be performed in accordance with the Australian Standard AS/NZS 4360:2004 (Risk Management) and relevant Chemical Engineer professional codes of conduct as established by Engineers Australia.
  2. The Chemical Engineer assigned to this engagement must be physically present at the South Brisbane, Australia Brisbane facility for a minimum of forty (40) hours per week. Any absence exceeding three (3) consecutive business days must be pre-approved in writing by the Project Director.
  3. Payment shall be rendered within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. Invoices must reference this Purchase Order number (PO-2025-BNE-0487) and include the supplier's ABN for GST compliance under Australian tax law.
  4. The Chemical Engineer shall maintain full professional indemnity insurance throughout the contract term and provide certificates of currency upon request. Failure to maintain adequate insurance coverage constitutes a material breach of this Purchase Order.
  5. All intellectual property, process designs, calculations, and documentation produced by the Chemical Engineer in the course of this engagement shall be the sole property of AquaChem Process Solutions Pty Ltd. The Chemical Engineer shall execute any necessary assignment documents as required.
  6. This Purchase Order is governed by the laws of the State of Queensland, Australia. Any disputes arising from this agreement shall be resolved through mediation in Brisbane, Queensland, in accordance with the Queensland Civil and Administrative Tribunal (QCAT) procedures, prior to any litigation.
  7. The supplier warrants that the Chemical Engineer engaged is not subject to any conflict of interest, is not under any competing contractual obligation, and holds all necessary professional registrations valid in Australia Brisbane and the State of Queensland.
  8. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions for incomplete deliverables.
  9. All personal data collected in connection with this Purchase Order shall be handled in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
