Terms and Conditions of this Purchase Order

  1. This Purchase Order constitutes a binding agreement between Meridian Process Solutions Pty Ltd and Apex Engineering Consultancy Group upon written acceptance by both parties. All services described herein shall be performed in Australia Melbourne and in strict compliance with Australian law, including the Australian Consumer Law, the Fair Work Act 2009 (Cth), and all applicable Victorian state legislation.
  2. The Chemical Engineer personnel engaged under this Purchase Order must hold valid professional registration with Engineers Australia, possess appropriate professional indemnity insurance (minimum AUD $10,000,000), and maintain current Australian Working Rights documentation. The supplier shall provide copies of all relevant credentials prior to commencement of work.
  3. All work performed under this Purchase Order shall be conducted at the Port Melbourne facility located in Australia Melbourne, VIC 3207, or at such other location within Australia Melbourne as mutually agreed in writing. The Chemical Engineer team shall comply with all site-specific health, safety, and environmental protocols established by the buyer.
  4. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (AM-CE-2025-04871) and the applicable line item. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.
  5. The supplier warrants that all deliverables produced by the Chemical Engineer team shall be of a professional standard consistent with the Australian Standards (AS/NZS) series, the Chemical Engineering Code of Practice, and all applicable Australian regulatory requirements for chemical processing operations in Australia Melbourne.
  6. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services satisfactorily rendered up to the date of termination. The Chemical Engineer team shall hand over all work-in-progress documentation within fourteen (14) days of termination.
  7. All intellectual property created specifically for the buyer under this Purchase Order shall vest in the buyer upon full payment. The Chemical Engineer team retains ownership of pre-existing methodologies, templates, and proprietary tools, granting the buyer a perpetual, non-exclusive licence to use such materials in connection with the project.
  8. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information, process data, and trade secrets disclosed during the course of this engagement. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
  9. Disputes arising from this Purchase Order shall be resolved in accordance with the laws of the State of Victoria, Australia Melbourne. The parties agree to attempt mediation through the Victorian Commercial Arbitration Service before initiating any legal proceedings in the Victorian courts.
  10. This Purchase Order is subject to the supplier's standard terms and conditions of engagement, which are incorporated by reference and available upon request. In the event of any conflict between the terms of this Purchase Order and the supplier's standard terms, the terms of this Purchase Order shall prevail.
