1. This Purchase Order is issued by Delta Process Engineering Ltd., Bangladesh Dhaka, and constitutes a binding procurement commitment for the supply of equipment, materials, and professional services as detailed above for the use of our Chemical Engineer and associated laboratory operations.
2. All items must comply with the Bangladesh Standards and Testing Institution (BSTI) certification requirements. The Chemical Engineer's office will conduct a final inspection upon delivery at the Bangladesh Dhaka receiving warehouse. Any non-conforming items must be replaced within seven (7) calendar days at the supplier's expense.
3. The supplier shall provide complete technical documentation, calibration certificates, and safety data sheets (SDS) for all chemical reagents and equipment. The supervising Chemical Engineer must approve all documentation before final payment is released.
4. Delivery of all items shall be made to the designated receiving address in Bangladesh Dhaka. The supplier is responsible for all transportation, insurance, and risk of loss until the Chemical Engineer signs the delivery acknowledgment form.
5. This Purchase Order may not be transferred or subcontracted without prior written consent from Delta Process Engineering Ltd., Bangladesh Dhaka. Any modification to scope, quantity, or delivery schedule must be documented via a formal Purchase Order amendment signed by both parties.
6. In the event of a dispute arising from this Purchase Order, the matter shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001. The governing law shall be the laws of the People's Republic of Bangladesh.
7. The supplier warrants that all equipment is new, unused, and free from defects. The warranty period for the reactor vessel and GC-MS system shall be a minimum of twenty-four (24) months from the date of installation, as verified by the Chemical Engineer's team.
Note 1: The GC-MS unit (Item 5) requires a dedicated 220V/50Hz electrical circuit and a nitrogen gas supply line. The Chemical Engineer's facility team will prepare the installation bay by 01 July 2025. The supplier's installation engineer must coordinate directly with Engr. Nusrat Jahan, the supervising Chemical Engineer, prior to arrival in Bangladesh Dhaka.
Note 2: All chemical reagents (Item 3) must be transported in compliance with the Bangladesh Hazardous Waste Management Rules, 1997. The supplier must provide a valid transport permit and ensure the delivery vehicle is equipped with spill containment materials. The Chemical Engineer will supervise the unloading and storage procedure.
Note 3: The software license (Item 6) must be activated on the Chemical Engineer's designated workstation (Asset Tag: DPE-WKS-0042) located in the Bangladesh Dhaka office. Remote activation is acceptable; physical media is not required.
Note 4: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to confirm acceptance by 28 June 2025 will result in automatic cancellation of this Purchase Order.
