- Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Kingdom of Belgium, with exclusive jurisdiction vested in the Courts of Belgium Brussels. Any disputes arising from this engagement shall be resolved in the Commercial Court of Brussels.
- Professional Liability: The Chemical Engineer shall carry professional indemnity insurance with a minimum coverage of €1,000,000 per claim, as mandated by the Belgian Order of Engineers. A certificate of insurance shall be provided prior to commencement of work.
- Compliance: All services shall comply with the Belgian Code of Economic Law, the Brussels-Capital Region planning and environmental regulations, and applicable EU directives. The Chemical Engineer warrants that all deliverables meet the technical standards set forth by NBN (Belgian National Standards Organisation).
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the HAZOP study and environmental assessment, and 30% upon final delivery of the technical documentation package. All payments shall be made via bank transfer to the account specified by the Chemical Engineer, with a minimum of 30 days from the date of invoice.
- Intellectual Property: All designs, calculations, reports, and documentation produced by the Chemical Engineer under this Purchase Order shall become the exclusive property of Brussels Industrial Process Solutions S.A. upon full payment. The Chemical Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in accordance with Belgian data protection law (Law of 30 July 2018) and the EU General Data Protection Regulation (GDPR).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Chemical Engineer shall deliver all work-in-progress documentation to the Buyer within fourteen (14) days of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions affecting the Belgium Brussels region, or pandemics, as defined under Article 1625 of the Belgian Civil Code.
- Health and Safety: The Chemical Engineer shall comply with all occupational health and safety regulations applicable in Belgium Brussels, including the Belgian Royal Decree of 27 April 2001 on the general principles of occupational safety and health. The Buyer shall provide appropriate site access and safety equipment for on-site activities.
- Dispute Resolution: In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent Commercial Court of Belgium Brussels. The parties waive any right to arbitration unless mutually agreed in writing.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Chemical Engineer professional services in Belgium Brussels, effective from the date of the last signature.
