This Purchase Order authorizes the procurement of specialized Chemical Engineer professional services to support Indústria Química do Litoral S.A. in the expansion and regulatory compliance of its petrochemical operations located in the metropolitan region of Brazil Rio de Janeiro. The selected Chemical Engineer and supporting technical team shall be responsible for end-to-end process engineering, environmental stewardship, and industrial safety assurance across all phases of the project. All work shall be performed in strict adherence to Brazilian federal and state regulations, including those issued by the Ministry of Mines and Energy, INEA, and the local municipal authorities of Rio de Janeiro. The Chemical Engineer assigned to this engagement must hold a valid registration with the CREA-RJ (Conselho Regional de Engenharia e Agronomia do Estado do Rio de Janeiro) and possess a minimum of ten (10) years of documented experience in petrochemical process engineering within Brazil.
- Delivery / Commencement: Services shall commence on 01 August 2025 at the client's facility in São Gonçalo, Rio de Janeiro, Brazil. The Chemical Engineer must present valid CREA-RJ registration and professional liability insurance prior to site access.
- Payment Schedule: Invoices shall be submitted monthly on the last business day. Payment shall be made via TED (Transferência Eletrônica Disponível) to the supplier's bank account within thirty (30) calendar days of invoice receipt, as stipulated in this Purchase Order.
- Intellectual Property: All process designs, calculations, reports, and documentation produced by the Chemical Engineer under this Purchase Order shall be the exclusive property of Indústria Química do Litoral S.A. upon full payment.
- Confidentiality: The supplier and the assigned Chemical Engineer agree to maintain strict confidentiality regarding all proprietary process data, trade secrets, and operational information of the client, in compliance with Brazil's General Data Protection Law (LGPD – Lei Geral de Proteção de Dados).
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date, including a reasonable wind-down period for the Chemical Engineer team.
- Regulatory Compliance: The supplier warrants that all services will comply with applicable Brazilian federal, state (Rio de Janeiro), and municipal regulations. Any non-compliance resulting in fines or operational shutdowns shall be the sole responsibility of the supplier.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in the city of Rio de Janeiro, Brazil, under the rules of CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá), in the Portuguese language.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific reference to the Civil Code (Código Civil) and the state legislation of Rio de Janeiro.
