The Chemical Engineer must hold a valid registration with the Conselho Federal de Engenharia e Agronomia (CREA-SP) and demonstrate a minimum of ten (10) years of professional experience in petrochemical and pharmaceutical process engineering. All deliverables, including process flow diagrams, safety impact assessments, and regulatory compliance reports, shall be submitted in Portuguese and English, and must conform to the technical standards mandated by the São Paulo State government and federal Brazilian legislation.

1. This Purchase Order is governed by the laws of the Federative Republic of Brazil, specifically the Civil Code (Código Civil, Lei nº 10.406/2002) and applicable commercial regulations of the State of São Paulo.
2. The Seller warrants that the Chemical Engineer(s) engaged under this Purchase Order possess all necessary professional qualifications, CREA-SP registrations, and insurance coverage required to perform the services in São Paulo, Brazil.
3. Payment shall be processed via bank transfer (TED/PIX) to the account designated by the Seller, in Brazilian Reais (BRL), within thirty (30) calendar days of receipt of a valid invoice (Nota Fiscal) issued in compliance with São Paulo State tax regulations.
4. Any modification to the scope of work, timeline, or personnel assigned under this Purchase Order must be documented in a written amendment signed by both parties and filed with the buyer's procurement department in São Paulo.
5. The Seller shall maintain full confidentiality of all proprietary process data, trade secrets, and operational information of the buyer. Breach of confidentiality shall be subject to penalties under Brazilian Law nº 9.279/1996 (Industrial Property Law) and applicable São Paulo State regulations.
