Terms and Conditions
1. Scope of Engagement: This Purchase Order authorizes the procurement of professional services related to the recruitment, placement, and ongoing support of a qualified Chemical Engineer. All services shall be performed in accordance with the standards established by Professional Engineers Ontario and applicable federal and provincial regulations within Canada Toronto.
2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Remittance shall be processed via electronic funds transfer (EFT) to the vendor's designated account in Canadian Dollars (CAD). Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Ontario Interest Act.
3. Delivery and Performance: The Chemical Engineer shall commence duties no later than August 1, 2025, at the Meridian Process Solutions facility located in Toronto, Ontario. All deliverables, process reports, and engineering documentation shall be submitted in English and conform to Canadian Standards Association (CSA) guidelines.
4. Compliance and Jurisdiction: This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the Ontario Arbitration Act, 1991.
5. Confidentiality: All proprietary process data, chemical formulations, and engineering designs accessed by the Chemical Engineer under this Purchase Order shall remain the exclusive property of Meridian Process Solutions Inc. The vendor and the Chemical Engineer agree to maintain strict confidentiality for a period of five (5) years following the termination of services.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all completed services shall be invoiced, and the Chemical Engineer shall be transitioned off-site in accordance with Ontario employment standards.
7. Insurance and Indemnification: The vendor shall maintain comprehensive general liability insurance with a minimum coverage of $5,000,000 CAD and professional liability insurance of $2,000,000 CAD for the duration of this Purchase Order. The Chemical Engineer shall be covered under the vendor's workers' compensation policy registered with the Ontario Workplace Safety and Insurance Board (WSIB).
8. Amendments: No modification to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties. All amendments must reference the original Purchase Order number PO-2025-CE-04782.
