3. Scope of Work – Chemical Engineer Services

This Purchase Order is issued by Pacific Northwest Process Solutions Inc. to Cascade Engineering & Consulting Group Ltd. for the procurement of specialized Chemical Engineer professional services to be performed in Canada Vancouver, British Columbia. The Chemical Engineer engaged under this Purchase Order shall provide comprehensive process design, safety assessment, and environmental compliance consulting for the buyer's new petrochemical processing facility located in the Delta industrial corridor, Canada Vancouver region. The Chemical Engineer must hold a valid Professional Engineer (P.Eng.) license issued by the Association of Professional Engineers and Geoscientists of British Columbia (APEGBC) and possess a minimum of fifteen (15) years of experience in chemical process engineering, reactor design, and hazardous materials handling.

5. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada Vancouver jurisdiction. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Vancouver under the rules of the British Columbia Arbitration Institute.
  2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Chemical Engineer's firm. Milestone payments are due upon completion of each line item as verified by the buyer's project manager. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer to the account designated by Cascade Engineering & Consulting Group Ltd.
  3. Performance Period: The Chemical Engineer shall commence work no later than July 1, 2025, and shall complete all deliverables specified in this Purchase Order by December 15, 2025. The ongoing advisory engagement (Item 006) shall extend through November 30, 2026, with all site visits conducted in Canada Vancouver.
  4. Professional Standards: The Chemical Engineer shall perform all services in accordance with the Code of Ethics of APEGBC, applicable Canadian National Standards (CSA), and all regulations enforced by the Canada Vancouver municipal government and the British Columbia Environmental Assessment Office.
  5. Insurance and Liability: The Chemical Engineer shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD and workers' compensation insurance as required by the Workers' Compensation Board of British Columbia. The Chemical Engineer shall indemnify the buyer against any claims arising from negligence or professional malpractice.
  6. Intellectual Property: All designs, calculations, reports, and documentation produced by the Chemical Engineer under this Purchase Order shall become the exclusive property of Pacific Northwest Process Solutions Inc. upon full payment. The Chemical Engineer retains the right to reference the project in general portfolio materials with prior written consent.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data exchanged in connection with this Purchase Order. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Chemical Engineer shall be compensated for all work completed and documented up to the date of termination. The buyer shall not be liable for future milestone payments beyond the termination date.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Canada Vancouver, pandemics, or supply chain disruptions affecting the Chemical Engineer's ability to perform services.
  10. Subcontracting: The Chemical Engineer shall not subcontract any portion of the work described in this Purchase Order without prior written approval from the buyer. Any approved subcontractor shall be bound by the same terms and conditions as stated herein.
6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Chemical Engineer in Canada Vancouver. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized representatives.
