- Scope of Work: All services described in this Purchase Order shall be performed by qualified Chemical Engineers holding valid professional registration with the Colegio de Ingenieros de Chile. The primary work location shall be Santiago, Chile, with all on-site activities conducted at the Andes Industrial Solutions facility in the Santiago Metropolitan Region.
- Delivery Schedule: The Chemical Engineer services shall commence on 1 July 2025 and shall be completed no later than 30 September 2025. Milestone deliverables are as follows: Process Design Package by 15 July 2025; HAZOP Report by 1 August 2025; Environmental Compliance Audit by 15 August 2025; Commissioning Support by 15 September 2025; Final Technical Report by 30 September 2025.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of the HAZOP Study and Environmental Compliance Audit, and 30% upon delivery and acceptance of the Final Technical Report. All payments shall be made via bank transfer to the account specified by the vendor. Invoices must include a valid Factura Electrónica (FE) compliant with the Servicio de Impuestos Internos (SII) of Chile.
- Quality and Compliance: All work performed by the Chemical Engineer must adhere to Chilean technical standards (NCh), international standards (ASME, API, ISO), and applicable regulations of the Superintendencia de Medio Ambiente and the Ministry of Energy of Chile. The vendor shall maintain all necessary professional liability insurance with a minimum coverage of CLP 500,000,000.
- Confidentiality: The Chemical Engineer and all supporting personnel shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All process data, proprietary formulations, and operational parameters of Andes Industrial Solutions SpA are strictly confidential and shall not be disclosed to any third party without written authorization.
- Health and Safety: All personnel working on-site in Santiago, Chile, must comply with the company's Health, Safety, and Environment (HSE) policies. The Chemical Engineer shall complete the mandatory site induction and hold a valid first-aid certification recognized in Chile.
- Warranty: The vendor warrants that all engineering deliverables shall be free from errors and omissions for a period of 12 months from the date of final acceptance. Any corrections required within this warranty period shall be performed at no additional cost.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the vendor shall be compensated for all work completed and documented up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes shall be resolved in the competent courts of Santiago, Chile.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Santiago, Chile region.
