4.1 The Chemical Engineer engaged under this Purchase Order shall be responsible for the end-to-end design, simulation, and commissioning oversight of the Buyer's new 50,000-tonne-per-year specialty solvent production line located in the Beijing Economic-Technological Development Area, China Beijing.

4.2 The Chemical Engineer shall produce and deliver, no later than the 90th day of the contract term, a complete Process Design Package (PDP) including P&IDs, heat and mass balance calculations, equipment datasheets, and a HAZOP study report compliant with GB/T 37243-2019 (National Standard of the PRC for Process Safety Management).

4.3 All technical documentation shall be submitted in both Simplified Chinese and English. The Chemical Engineer shall attend weekly progress meetings at the Buyer's China Beijing office and provide monthly written progress reports to the Director of Procurement.

4.4 The Chemical Engineer shall comply with all applicable regulations of the Ministry of Emergency Management of the PRC, the Beijing Municipal Environmental Protection Bureau, and the local fire safety authority in China Beijing.

5.1 Payment shall be made in Chinese Yuan (CNY) via bank transfer to the Seller's designated account in China Beijing within thirty (30) calendar days of receipt of a valid VAT invoice (fapiao).

5.2 A 10% retention shall be withheld from each monthly invoice and released in full upon satisfactory completion of the 12-month contract term and final acceptance of all deliverables by the Buyer.

5.3 Late payments shall accrue interest at the rate of 0.05% per calendar day, in accordance with the Civil Code of the People's Republic of China.

6.1 The Chemical Engineer shall commence duties on 1 August 2025 at the Buyer's facility in Haidian District, China Beijing. The initial contract term is twelve (12) months, renewable by mutual written agreement for successive twelve-month periods.

6.2 Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination, less the applicable retention.

7.1 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, including the Civil Code and the Contract Law provisions applicable in China Beijing.

7.2 Any dispute arising out of or in connection with this Purchase Order shall first be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission (BAC) in China Beijing for binding arbitration in accordance with its then-current rules. The seat of arbitration shall be China Beijing, and the language of arbitration shall be Chinese.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the procurement of Chemical Engineer services in China Beijing. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
