The Chemical Engineer must hold a valid professional registration in Guangdong Province and demonstrate a minimum of ten (10) years of experience in large-scale chemical process design within the China Guangzhou industrial corridor.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplying Party. The Chemical Engineer named in this Purchase Order must be the individual performing the core engineering work; substitution requires prior written approval from the Purchasing Party.
- Performance Period: The Chemical Engineer shall commence work no later than July 1, 2025, and complete all deliverables by December 15, 2025, unless otherwise agreed in writing. All on-site work shall be conducted at the project facility in the Huangpu District, China Guangzhou.
- Payment Schedule: 30% advance payment upon Purchase Order acceptance; 40% upon completion of Phase 2 detailed engineering; 30% upon final commissioning and handover. All payments shall be made via bank transfer to the account specified by Pacific Chemical Engineering Consultants (Guangzhou) Ltd.
- Quality and Standards: All work performed by the Chemical Engineer shall comply with the latest editions of GB 50160, GB 50016, ASME B31.3, and applicable local regulations of the China Guangzhou Municipal Bureau of Housing and Urban-Rural Development. Non-conforming deliverables must be rectified at the Chemical Engineer's own cost within ten (10) business days.
- Intellectual Property: All process designs, calculations, and documentation produced under this Purchase Order shall become the exclusive property of Guangzhou Advanced Process Solutions Co., Ltd. upon full payment. The Chemical Engineer retains the right to use general methodologies and prior knowledge not specific to this project.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality of all proprietary information, trade secrets, and operational data of the Purchasing Party. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Health, Safety, and Environment: The Chemical Engineer shall comply with all occupational health and safety regulations applicable in China Guangzhou, including but not limited to the Work Safety Law of the People's Republic of China and local Guangdong Province environmental protection directives. The Chemical Engineer must hold a valid safety training certificate for petrochemical facilities.
- Warranty: The Chemical Engineer provides a twelve (12) month warranty on all engineering deliverables from the date of final acceptance. Any design errors discovered within this period shall be corrected at no additional cost.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou for binding arbitration under its then-current rules.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to regulations applicable in the China Guangzhou jurisdiction.
The Chemical Engineer shall report to the project site at No. 888 Huangpu Industrial Avenue, Huangpu District, China Guangzhou, Guangdong Province. Site access shall be coordinated through the Purchasing Party's site management office. The Chemical Engineer is responsible for obtaining any necessary local work permits, safety inductions, and environmental clearance certificates required by the China Guangzhou municipal authorities prior to commencing on-site activities.
