1. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the commercial regulations applicable to the China Shanghai municipal jurisdiction.
2. The Supplier warrants that all Chemical Engineer personnel engaged under this Purchase Order hold valid professional certifications recognized by the China Engineering Society and possess a minimum of five (5) years of relevant experience in petrochemical process engineering.
3. All equipment and software delivered under this Purchase Order shall comply with the China National Standard (GB) specifications and the Shanghai Municipal Environmental Protection Bureau requirements for chemical manufacturing facilities in China Shanghai.
4. Payment shall be made via bank transfer to the Supplier's designated account in China Shanghai within forty-five (45) calendar days of receipt of a valid tax invoice (fapiao) and confirmation of milestone completion.
5. The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order, covering all activities performed by the Chemical Engineer team at the buyer's China Shanghai premises.
6. Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai. The language of arbitration shall be English.
7. The Supplier shall ensure that all Chemical Engineer staff comply with the China Shanghai Municipal Safety Production Regulations and the employer's internal health, safety, and environmental (HSE) protocols at all times while on-site.
8. Intellectual property generated by the Chemical Engineer team during the course of this Purchase Order, including but not limited to process designs, optimization algorithms, and safety assessments, shall be the sole property of the Buyer.
9. This Purchase Order may be amended only by mutual written agreement of both parties, executed as a formal addendum referencing the original Purchase Order number PO-SH-2025-04872.
10. Force majeure events, including but not limited to natural disasters, government-mandated shutdowns in China Shanghai, or public health emergencies, shall suspend obligations under this Purchase Order for the duration of the event, with written notice provided within five (5) business days.
