1. Description of Services – Chemical Engineer EngagementThis Purchase Order is issued by Andina Process Solutions S.A.S. to formally request the professional services of a qualified Chemical Engineer to support the design, optimization, and commissioning of a new industrial process unit located in the industrial corridor of Colombia Medellín, specifically within the Comuna 13 manufacturing zone. The Chemical Engineer shall be responsible for developing process flow diagrams (PFDs), performing thermodynamic and kinetic analyses, sizing reaction vessels and heat exchangers, and ensuring full compliance with the Colombian National Technical Standards (NTC) and the environmental regulations established by the Autoridad Ambiental del Valle de Aburrá (AVAL) in Colombia Medellín.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Commercial Code of Colombia and applicable regulations of the city of Colombia Medellín. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of Medellín, Antioquia.
- Payment Terms: Payment shall be made in three (3) installments: 40% upon acceptance of this Purchase Order, 40% upon delivery of the process design package and simulation reports, and 20% upon successful commissioning and final acceptance at the Colombia Medellín facility. All payments shall be made via bank transfer to the account designated by Ingeniería Química Profesional Ltda.
- Qualifications: The Chemical Engineer assigned to this Purchase Order must hold a minimum of ten (10) years of professional experience in process engineering, a valid professional license (Cédula Profesional) issued by the Colombian Ministry of Education, and demonstrated experience with industrial projects in the Colombia Medellín metropolitan area.
- Deliverables and Timeline: All deliverables specified in this Purchase Order must be completed no later than July 15, 2025. The Chemical Engineer shall submit a detailed project schedule within five (5) business days of the Purchase Order acceptance date.
- Confidentiality: The Chemical Engineer and the supplier agree to maintain strict confidentiality regarding all proprietary process data, trade secrets, and technical information disclosed in connection with this Purchase Order for a period of five (5) years following project completion.
- Health, Safety, and Environment (HSE): The Chemical Engineer shall comply with all HSE protocols established by Andina Process Solutions S.A.S. and with the occupational health and safety regulations (Ley 297 de 2008) applicable in Colombia Medellín. The Chemical Engineer must carry valid professional liability insurance with a minimum coverage of COP 500,000,000.
- Warranty and Rectification: The Chemical Engineer warrants that all engineering deliverables shall be free from design errors for a period of twelve (12) months from the date of final acceptance. Any rectification work required within this warranty period shall be performed at no additional cost under this Purchase Order.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Colombia Medellín region, provided that the affected party notifies the other within forty-eight (48) hours.
- Validity: This Purchase Order is valid for thirty (30) calendar days from the date of issue. If not accepted within this period, the Purchase Order shall be considered null and void unless renewed in writing by Andina Process Solutions S.A.S.
By signing below, the supplier acknowledges receipt of this Purchase Order and agrees to perform the services of the Chemical Engineer as described herein, in full compliance with all applicable Colombian regulations and the specific requirements of the Colombia Medellín industrial zone.
