The Chemical Engineer engaged under this Purchase Order shall hold a minimum of a Master's degree in Chemical Engineering or a closely related discipline, possess no fewer than ten (10) years of progressive professional experience in process design, reactor engineering, separation processes, and industrial safety systems, and be duly registered with the Ordre des Ingénieurs du Congo. The Chemical Engineer shall be physically present in Kinshasa, DR Congo, for the duration of the contract period as specified herein.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of Congo, specifically the Code de Commerce and applicable regulations of the Agence pour la Promotion des Investissements (API) in Kinshasa, DR Congo.
2. Commencement and Duration: The Chemical Engineer shall commence on-site work in Kinshasa, DR Congo, no later than 1 July 2025. The total contract duration shall not exceed one hundred and fifty-five (155) working days from the commencement date, subject to mutual written agreement for extension.
3. Payment Terms: Payment shall be made in United States Dollars (USD) via bank transfer to the Vendor's designated account in Kinshasa, DR Congo. A 30% advance payment (USD 27,509.40) shall be due within ten (10) business days of acceptance of this Purchase Order. The remaining 70% shall be paid in three equal monthly installments upon verified milestone completion, with final settlement within fifteen (15) business days of acceptance of the Final Technical Report.
4. Working Location: All services under this Purchase Order shall be performed at the Buyer's facility located in the Commune de Ngaliema, Kinshasa, DR Congo, or at such other location within Kinshasa, DR Congo, as mutually agreed in writing.
5. Professional Standards: The Chemical Engineer shall perform all duties in accordance with recognized international engineering standards (ASME, API, IEC) and shall comply with all applicable environmental and occupational health and safety regulations in force in the DR Congo, including those enforced by the Ministère de l'Environnement, du Développement Durable et du Changement Climatique.
6. Intellectual Property: All designs, calculations, reports, and documentation produced by the Chemical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
7. Confidentiality: The Vendor and the assigned Chemical Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer encountered during the performance of this Purchase Order in Kinshasa, DR Congo.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Vendor for all services rendered and expenses incurred up to the effective date of termination.
9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the competent commercial courts of Kinshasa, DR Congo.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or epidemics affecting the Kinshasa, DR Congo region.

This Purchase Order is valid upon signature by both parties. The Vendor's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and scope of work described herein for the engagement of the Chemical Engineer in Kinshasa, DR Congo.
