This Purchase Order is issued by Alexandria Industrial Processing Co. (AIPC) to formally engage the services of a qualified Chemical Engineer to provide ongoing technical consultancy, process optimization, and safety compliance oversight for the company's petrochemical and water treatment facilities located in Egypt Alexandria. The Chemical Engineer shall operate under the direct supervision of the Plant Operations Director and shall report bi-weekly to the Procurement and Engineering Management Committee.

- Qualification Requirement: The Chemical Engineer must hold a valid professional license issued by the Egyptian Engineers Syndicate, a minimum of ten (10) years of post-graduate experience in petrochemical or water treatment process engineering, and demonstrated familiarity with the regulatory framework governing industrial operations in Egypt Alexandria, including the Alexandria Governorate Environmental Protection Agency (AEGPA) guidelines.
- Payment Terms: Invoices shall be submitted on the last working day of each calendar month. Payment shall be processed within thirty (30) days of invoice receipt via bank transfer to the account designated by the Chemical Engineer. All payments are subject to the applicable Egyptian Value Added Tax (VAT) at the prevailing rate of 14%.
- Work Location: All on-site services shall be performed at the AIPC facility located in El-Montazah, Alexandria, Egypt. The Chemical Engineer is expected to be physically present at the Alexandria site no fewer than five (5) working days per week, with remote consultancy permitted for documentation and reporting tasks.
- Confidentiality: The Chemical Engineer shall maintain strict confidentiality regarding all proprietary process data, chemical formulations, and operational parameters of AIPC. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Compliance and Safety: The Chemical Engineer shall comply with all applicable Egyptian labor laws, occupational health and safety regulations, and the specific environmental permits held by AIPC for operations in the Alexandria industrial zone. Full PPE compliance is mandatory at all times on the plant floor.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach, termination may be effected with fourteen (14) days notice. Upon termination, all outstanding invoices for services rendered shall be settled within thirty (30) days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising hereunder shall be resolved through the competent courts of Alexandria, Egypt.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in the Alexandria industrial corridor, or civil unrest.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Chemical Engineer professional services in Egypt Alexandria under the terms and conditions set forth herein. This document is valid for acceptance within fourteen (14) calendar days from the date of issue.
