4.1 — This Purchase Order constitutes a binding procurement instrument under Egyptian commercial law. The Chemical Engineer shall commence all services no later than the Required Delivery Date specified in Section 1. Failure to commence within the stipulated period shall entitle the issuing Authority to cancel this Purchase Order without penalty.

4.2 — All work performed under this Purchase Order shall be executed in Cairo, Egypt, or at the designated project site within the Cairo Governorate. The Chemical Engineer shall bear all travel, accommodation, and local transportation costs unless otherwise agreed in writing as a supplementary amendment to this Purchase Order.

4.3 — The Chemical Engineer warrants that all deliverables shall be original, free from intellectual property infringement, and compliant with the Egyptian Intellectual Property Law (Law No. 82 of 2002, as amended). All technical drawings, calculations, and reports produced under this Purchase Order shall become the exclusive property of the Nile Delta Industrial Development Authority upon full payment.

4.4 — The Chemical Engineer shall maintain professional indemnity insurance with a minimum coverage of EGP 2,000,000, valid throughout the duration of this Purchase Order, and shall provide a certificate of insurance to the Authority prior to commencement of work in Cairo.

4.5 — Payment shall be processed via bank transfer to the account designated by the Chemical Engineer. Invoices must reference this Purchase Order number (EG-CAI-CE-2025-04782) and shall be submitted to the procurement office at the Authority’s Cairo headquarters. Late payment beyond the Net 30-day term shall accrue interest at the Central Bank of Egypt’s prevailing rate.

4.6 — Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through the competent courts of Cairo, Egypt, in accordance with the Egyptian Code of Civil and Commercial Procedure.
