All amounts are denominated in Ethiopian Birr (ETB). Payment shall be processed through the National Bank of Ethiopia, Addis Ababa branch.

1. Place of Performance: All services under this Purchase Order shall be performed at the Addis Ababa Integrated Manufacturing Complex, Bole Industrial Zone, Ethiopia Addis Ababa. The Chemical Engineer shall report to the site office no later than 07:30 EAT on each working day.
2. Qualification Requirement: The Chemical Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Chemical Engineering from an accredited Ethiopian or internationally recognized university, a valid Ethiopian Engineering Council (EEC) professional license, and a minimum of eight (8) years of post-qualification experience in industrial chemical process operations.
3. Compliance: The Chemical Engineer shall adhere to all safety protocols, environmental regulations of Ethiopia, and the specific operational guidelines of the Ethiopian Industrial Development Authority. Failure to comply may result in immediate termination of this Purchase Order without penalty to the Authority.
4. Intellectual Property: All reports, designs, calculations, and technical documentation produced by the Chemical Engineer in the course of this Purchase Order shall become the exclusive property of the Ethiopian Industrial Development Authority.
5. Confidentiality: The Chemical Engineer shall maintain strict confidentiality regarding all proprietary processes, trade secrets, and operational data encountered during the engagement in Ethiopia Addis Ababa. This obligation survives the completion of this Purchase Order for a period of five (5) years.
6. Insurance: The Chemical Engineer shall maintain valid professional indemnity insurance and personal accident coverage throughout the duration of this Purchase Order, with the Ethiopian Industrial Development Authority named as an additional insured party.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation under the Ethiopian Commercial Code. If mediation fails, the matter shall be referred to the competent commercial court in Ethiopia Addis Ababa.

Payment for services rendered under this Purchase Order shall be made in three (3) installments:

• First Installment (40%): ETB 452,180 – payable within 15 working days of the Chemical Engineer's commencement of on-site work in Ethiopia Addis Ababa.
• Second Installment (35%): ETB 395,657.50 – payable upon submission and acceptance of the interim technical report.
• Third Installment (25%): ETB 282,612.50 – payable within 10 working days of final acceptance of all deliverables and the completion certificate.

All payments shall be made via bank transfer to the account designated by the Chemical Engineer, processed through the National Bank of Ethiopia, Addis Ababa. Late payments shall attract interest at the rate prescribed by the Ethiopian National Bank.

All technical deliverables, including the process optimization report, HAZOP study findings, wastewater evaluation report, and operator training materials, shall be submitted in both hard copy (three bound copies) and electronic format (PDF and editable source files) to the Procurement Department of the Ethiopian Industrial Development Authority, Bole Road, Ethiopia Addis Ababa. The Authority shall have fourteen (14) calendar days to review and issue a formal acceptance or a written list of required corrections.

This Purchase Order is authorized and issued by the undersigned officers of the Ethiopian Industrial Development Authority and is accepted by the Chemical Engineer service provider. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the provision of Chemical Engineer services in Ethiopia Addis Ababa.
