5.1 Payment Terms: Payment shall be made by bank transfer (virement SEPA) within 30 days of receipt of a valid invoice from the vendor. A 10% advance payment is due upon acceptance of this Purchase Order. The remaining balance shall be invoiced in three equal milestones: 40% upon completion of process design (Item 01), 30% upon delivery of the ICPE compliance dossier (Item 02), and 30% upon final acceptance of all deliverables and equipment installation in Lyon, France.

5.2 Delivery and Performance: All services and equipment shall be delivered and installed at the designated site in Vaulx-en-Velin, Lyon metropolitan area, France, no later than 31 October 2025. The Chemical Engineer team shall maintain a minimum on-site presence of 4 days per week during the active design and installation phases.

5.3 Professional Qualifications: The lead Chemical Engineer assigned to this Purchase Order must hold a minimum of a Diplôme d'Ingénieur (DIPLOME) in Chemical Engineering or an equivalent Master's degree, and must be registered with the Ordre des Ingénieurs in France. All supporting engineers must possess a minimum of 5 years of relevant process-engineering experience in the chemical or petrochemical sector.

5.4 Health, Safety, and Environment (HSE): All personnel working under this Purchase Order in Lyon, France, shall comply with the site-specific HSE plan, French occupational health and safety regulations (Code du Travail), and the ATEX Directive 2014/34/EU. The Chemical Engineer team shall conduct a site-specific risk assessment before commencing any on-site activity.

5.5 Intellectual Property: All process designs, simulations, drawings, and technical documentation produced under this Purchase Order shall become the exclusive property of Rhône-Alpes Industrial Solutions S.A.S. upon full payment. The vendor retains the right to use generic methodologies and standard engineering practices.

5.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France.

5.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in the Lyon region, or supply-chain disruptions affecting equipment delivery to France.

5.8 Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, process parameters, and commercial information exchanged in connection with this Purchase Order. This obligation shall survive termination of the agreement for a period of five (5) years.
