1. Purpose and Scope of This Purchase OrderThis Purchase Order is formally issued by Provence Industrial Solutions SARL (hereinafter referred to as "the Buyer") to TechnoChim Consulting Group (hereinafter referred to as "the Supplier") for the engagement of a qualified Chemical Engineer to provide specialized technical consulting, process optimization, and regulatory compliance services. All services described in this Purchase Order shall be performed on-site and remotely within the metropolitan area of France Marseille, specifically at the Buyer's industrial facility located at Zone Franche de Marseille-Fos, 13290 Aubagne, France. This Purchase Order constitutes a binding agreement between both parties and shall be governed by the laws of the French Republic, with particular reference to the commercial code applicable to the Bouches-du-Rhône department in France Marseille.
2. Description of Services – Chemical Engineer EngagementThe Supplier shall provide the services of a senior Chemical Engineer holding a minimum of ten (10) years of professional experience in petrochemical process design, environmental compliance, and industrial safety management. The Chemical Engineer shall possess a recognized engineering degree (Diplôme d'Ingénieur) from a French Grande École or an equivalent institution accredited by the Commission des Titres d'Ingénieur (CTI). The Chemical Engineer assigned under this Purchase Order shall be fluent in both French and English to facilitate communication with the Buyer's multinational stakeholders and to ensure full compliance with all regulatory documentation requirements specific to the France Marseille industrial zone.

4.1 Commencement and Duration: The services of the Chemical Engineer shall commence on 1 July 2025 and shall continue for a period of six (6) months, unless terminated earlier in accordance with the provisions of this Purchase Order. All work shall be conducted primarily at the Buyer's facility in the France Marseille metropolitan area, with the possibility of remote consultation from the Supplier's offices in central Marseille.
4.2 Payment Terms: Payment shall be made in monthly installments of EUR 23,710.00 (inclusive of VAT), due within thirty (30) days of receipt of a valid invoice from the Supplier. The first installment shall be due upon the successful onboarding and site induction of the Chemical Engineer at the France Marseille facility. All payments shall be made via bank transfer to the Supplier's designated account in France.
4.3 Regulatory Compliance: The Chemical Engineer shall ensure that all processes, modifications, and recommendations are fully compliant with French industrial regulations, European Union directives (including REACH and CLP regulations), and the specific environmental standards enforced by the Préfecture des Bouches-du-Rhône in France Marseille. The Chemical Engineer shall maintain all necessary professional certifications and insurance coverage throughout the duration of this Purchase Order.
4.4 Confidentiality and Intellectual Property: All technical data, process parameters, and proprietary information disclosed to the Chemical Engineer in the course of performing services under this Purchase Order shall be treated as strictly confidential. Any intellectual property developed specifically for the Buyer during the engagement shall remain the sole property of the Buyer. This clause shall survive the termination or expiration of this Purchase Order for a period of five (5) years.
4.5 Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, as well as any non-cancellable commitments made by the Chemical Engineer on behalf of the Buyer.
4.6 Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved amicably. Failing amicable resolution within sixty (60) days, the dispute shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, located in France Marseille, in accordance with French procedural law.
4.7 Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters, government actions affecting the France Marseille industrial zone, or pandemics, provided that the affected party notifies the other in writing within five (5) business days.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Chemical Engineer in France Marseille. This document is executed in two (2) original copies, one for each party.
