- Place of Performance: All services under this Purchase Order shall be executed at the Berlin Industrial Solutions GmbH facility located at Industriestraße 17, 12681 Berlin, Germany, unless otherwise agreed in writing. The Chemical Engineer shall comply with all site-specific safety protocols and German occupational health regulations (ArbSchG).
- Commencement Date: The Chemical Engineer shall commence work no later than 01 July 2025. The full scope of services shall be completed by 31 December 2025, subject to milestone approvals by the project manager in Germany Berlin.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-BER-04782). Payment shall be processed via SEPA bank transfer to the account specified in Section 1. A 1.5% monthly late payment interest shall apply in accordance with § 288 BGB.
- Quality Assurance: The Chemical Engineer guarantees that all deliverables shall conform to applicable DIN, VDI, and EU standards. Berlin Industrial Solutions GmbH reserves the right to reject non-conforming work and require remediation at no additional cost.
- Confidentiality: The Chemical Engineer shall treat all proprietary process data, formulations, and trade secrets as strictly confidential in accordance with the German Commercial Code (HGB § 242) and the EU General Data Protection Regulation (GDPR/DSGVO).
- Insurance: The service provider shall maintain professional liability insurance (Berufshaftpflicht) with a minimum coverage of EUR 2,000,000 per claim, valid throughout the duration of this Purchase Order in Germany Berlin.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Germany Berlin region.
- Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) days. In the event of termination, the Chemical Engineer shall be compensated for all services rendered up to the effective date of termination.
- Subcontracting: The Chemical Engineer shall not subcontract any portion of the work without prior written consent from Berlin Industrial Solutions GmbH.
