- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- Scope of Work: The Chemical Engineer, Dr. Katharina Brandt, shall perform all services described in the line items above with the skill, care, and diligence expected of a qualified Chemical Engineer registered with the Ingenieurkammer Hessen. All deliverables must comply with applicable German and European chemical engineering standards, including but not limited to DIN, VDI, and EN norms.
- Intellectual Property: All work product, designs, calculations, reports, and documentation created by the Chemical Engineer specifically for this Purchase Order shall become the exclusive property of Frankfurt Process Solutions GmbH upon full payment. The Chemical Engineer retains the right to reference the engagement in professional portfolios with prior written consent.
- Confidentiality: The Chemical Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data disclosed by the Purchasing Entity in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon delivery of the process design package (Line Item 1), and 30% upon final acceptance of all deliverables. Invoices shall be submitted to the accounts payable department at Frankfurt Process Solutions GmbH, Frankfurt am Main.
- Acceptance: The Purchasing Entity shall have fourteen (14) calendar days from the date of delivery to inspect and accept or reject each deliverable. Rejection must be communicated in writing with specific reasons. The Chemical Engineer shall have ten (10) business days to address any deficiencies.
- Insurance and Liability: The Chemical Engineer shall maintain professional liability insurance with a minimum coverage of 2,000,000 EUR throughout the duration of this Purchase Order. The Chemical Engineer shall be liable for damages resulting from gross negligence or willful misconduct in the performance of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Chemical Engineer shall be compensated for all services rendered and expenses incurred up to the effective date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Frankfurt, Germany.
- Compliance: The Chemical Engineer warrants that all services rendered under this Purchase Order shall comply with the German Occupational Safety and Health Act (Arbeitsschutzgesetz), the German Federal-Emission-Control Regulation (BImSchG), and all applicable environmental and chemical safety regulations in force in the state of Hesse and the Federal Republic of Germany.
