This Purchase Order is issued by Deccan Process Industries Pvt. Ltd. to formally engage the services of a qualified Chemical Engineer for the design, optimization, and commissioning oversight of a new solvent recovery and distillation unit at our manufacturing facility located in India Bangalore. The Chemical Engineer shall provide the following professional services as outlined below:

- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India, with jurisdiction vested in the courts of India Bangalore, Karnataka.
- The Chemical Engineer shall comply with all applicable regulations of the Karnataka State Pollution Control Board, the Directorate General of Factory Advice Service and Labour Institutes (DGFASLI), and the Central Pollution Control Board (CPCB) while performing duties at the India Bangalore site.
- Payment shall be made in monthly installments against certified progress reports submitted by the Chemical Engineer. Each installment shall be processed within 30 days of receipt of a valid tax invoice.
- The Chemical Engineer shall maintain professional indemnity insurance with a minimum coverage of INR 50,00,000 for the entire duration of this Purchase Order.
- All deliverables, including process designs, P&IDs, reports, and training materials, shall be the exclusive intellectual property of Deccan Process Industries Pvt. Ltd. upon full payment.
- The Chemical Engineer shall report to the Project Manager at the India Bangalore facility on a minimum of four (4) working days per week during the on-site phases of this engagement.
- Any variation in scope exceeding 10% of the original Purchase Order value shall require a written amendment signed by both parties before execution.
- The Chemical Engineer shall adhere to the site safety protocols, PPE requirements, and environmental management plans in force at the India Bangalore plant at all times.
- Termination may be effected by either party with thirty (30) days' written notice. In the event of termination, the Chemical Engineer shall be compensated for all work satisfactorily completed up to the date of termination as per this Purchase Order.
- All disputes arising under this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within 30 days, the matter shall be referred to arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996.
Work under this Purchase Order shall commence on 01 July 2025 at the Deccan Process Industries facility, Peenya Industrial Area, India Bangalore. The Chemical Engineer is expected to complete all deliverables and submit the final handover package by 30 November 2025. A detailed milestone schedule is attached hereto as Annexure-A and forms an integral part of this Purchase Order.
6. Acceptance and AuthorizationBy signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Chemical Engineer for the specified services at the India Bangalore facility, and all terms herein are accepted in full.
