Terms and Conditions
- This Purchase Order is governed by the laws of the Republic of India, and any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.
- The Chemical Engineer shall maintain full professional liability insurance with a minimum coverage of INR 50,00,000 for the duration of the engagement and shall provide a certificate of insurance prior to commencing on-site work at the India Mumbai facility.
- All deliverables, reports, and documentation produced by the Chemical Engineer under this Purchase Order shall remain the exclusive intellectual property of Shree Vardhman Chemicals Pvt. Ltd. upon full and final payment.
- The Chemical Engineer shall comply with all applicable regulations of the Maharashtra Pollution Control Board, the Factory Act 1948, the Occupational Safety and Health Act, and the Hazardous Waste (Management and Transboundary Movement) Rules as enforced in India Mumbai.
- Payment shall be processed via NEFT/RTGS to the bank account designated by the vendor. Invoices must reference this Purchase Order number (PO/MUM/CE/2025-0472) and include a valid GST invoice as per the Central Goods and Services Tax Act, 2017.
- The Chemical Engineer shall provide a detailed progress report to the Procurement Head of Shree Vardhman Chemicals every two weeks. Failure to meet agreed milestones may result in a penalty of 2% of the affected line-item value per week of delay.
- This Purchase Order may be amended only by mutual written consent of both parties. Any verbal modifications shall hold no legal validity.
- The Chemical Engineer shall adhere to the site safety protocols of the India Mumbai plant, including mandatory induction, PPE compliance, and restricted-area access permissions issued by the Plant Safety Officer.
- Confidentiality: The Chemical Engineer shall treat all proprietary process data, formulations, and trade secrets of Shree Vardhman Chemicals as strictly confidential and shall not disclose them to any third party during or after the term of this Purchase Order.
- This Purchase Order is valid for acceptance within 15 days of the date of issue. Beyond this period, the terms and pricing may be revised at the sole discretion of the buyer.
