This Purchase Order is issued by PT Nusantara Petrochemical Industries Tbk (hereinafter referred to as the "Buyer") to PT Sinar Kimia Engineering Consultants (hereinafter referred to as the "Seller") for the professional engagement of a qualified Chemical Engineer to provide comprehensive process design, safety assessment, and operational optimization services at the Buyer's manufacturing facility located in Indonesia Jakarta. The scope of work under this Purchase Order encompasses the full spectrum of Chemical Engineer responsibilities as defined in the attached Statement of Work (SOW), including but not limited to reactor design validation, heat and mass transfer analysis, process control system integration, environmental compliance auditing, and hazardous materials handling protocols in accordance with Indonesian Ministry of Energy and Mineral Resources (ESDM) regulations.

4. TERMS AND CONDITIONS

1. Scope of Work: The Seller shall assign a licensed Chemical Engineer holding a valid Professional Engineer (Ir.) certification recognized by the Indonesian Council of Engineers (Konsil Engineer Indonesia) to perform all duties outlined in this Purchase Order. The Chemical Engineer shall be physically present at the Buyer's facility in Indonesia Jakarta for a minimum of five (5) working days per week unless otherwise agreed in writing.
2. Commencement and Duration: Services shall commence on 1 July 2025 and shall continue for the duration specified in Section 3. Any extension of the Chemical Engineer engagement beyond the initial term shall require a written amendment to this Purchase Order signed by both parties.
3. Payment Schedule: Payment shall be made in monthly installments within thirty (30) calendar days from the date of invoice submission. The Buyer shall process payment via bank transfer to the Seller's designated account in Indonesia Jakarta. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
4. Compliance and Regulation: The Chemical Engineer and the Seller shall comply with all applicable laws and regulations of the Republic of Indonesia, including but not limited to the Indonesian Occupational Health and Safety Law (UU No. 1 Tahun 1970), the Environmental Protection Law (UU No. 32 Tahun 2009), and all local by-laws (Peraturan Daerah) applicable in Indonesia Jakarta. The Chemical Engineer shall maintain all necessary professional licenses and insurance coverage throughout the engagement period.
5. Intellectual Property: All process designs, calculations, reports, and documentation produced by the Chemical Engineer in the course of this Purchase Order shall be the exclusive property of the Buyer. The Seller shall not reproduce, distribute, or utilize such materials for any other client without prior written consent from the Buyer.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data exchanged during the execution of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
7. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Seller shall ensure an orderly transition of all ongoing Chemical Engineer work products and documentation to the Buyer.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Indonesian National Board of Arbitration (BANI) seated in Indonesia Jakarta. The language of arbitration shall be Bahasa Indonesia, with English translations provided for technical documents.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. The courts of Indonesia Jakarta shall have exclusive jurisdiction over any matters not subject to arbitration.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or civil unrest affecting Indonesia Jakarta. The affected party shall notify the other party within seven (7) days of the occurrence.

5. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Chemical Engineer services in Indonesia Jakarta. This Purchase Order constitutes a binding agreement between the Buyer and the Seller effective from the date of the last signature.
