- This Purchase Order constitutes a binding agreement between Levant Industrial Solutions Ltd. (Buyer) and Negev Chemical Consulting Group (Supplier) for the engagement of a qualified Chemical Engineer to perform the services described herein at the Buyer's facility located in Israel Tel Aviv.
- The Chemical Engineer assigned to this Purchase Order must hold a valid professional license issued by the Israeli Engineers Association (IIE) and possess a minimum of ten (10) years of experience in petrochemical process engineering. Proof of licensure shall be submitted prior to the commencement of work.
- All services shall be performed in full compliance with the Occupational Safety and Health Law, 5751-1991, the Environmental Protection Law, 5736-1976, and all applicable regulations enforced by the Israel Tel Aviv municipal authorities and the national regulatory bodies.
- The Supplier shall ensure that the Chemical Engineer maintains professional indemnity insurance with a minimum coverage of ₪ 5,000,000 for the entire duration of this Purchase Order. Certificates of insurance shall be provided upon request.
- Payment shall be made via bank transfer to the Supplier's designated account in Israel within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law, 5713-1953.
- The Supplier reserves the right to substitute the assigned Chemical Engineer with a qualified replacement of equivalent or superior credentials, provided that the Buyer receives written notice at least fourteen (14) days in advance and the replacement meets all qualification requirements stated in this Purchase Order.
- All intellectual property, process data, and technical documentation generated by the Chemical Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the Buyer. The Supplier and the Chemical Engineer shall execute a non-disclosure agreement (NDA) prior to accessing any proprietary information.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Israel. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tel Aviv District Court, Israel Tel Aviv.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date, and the Chemical Engineer shall deliver all completed and in-progress documentation to the Buyer.
- This Purchase Order may not be amended, modified, or supplemented except by a written addendum signed by authorized representatives of both parties.
