- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Chemical Engineer, Ing. Elena Ferraro, within ten (10) business days of the date of issue. Acceptance must be confirmed in writing via email or signed copy returned to the Purchasing Party.
- Place of Performance: All services described in this Purchase Order shall be performed at the facilities of Chimica Industriale S.r.l. located in Italy Milan, or at such other locations within the Milan metropolitan area as mutually agreed in writing. The Chemical Engineer shall bear responsibility for travel within the city of Milan.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) days of receipt of a valid invoice via bank transfer to the account specified by the Chemical Engineer. Late payments shall accrue interest at the rate prescribed by Italian Civil Code Article 1284.
- Professional Standards: The Chemical Engineer shall perform all services in full compliance with the professional code of conduct of the Albo degli Ingegneri della Provincia di Milano, applicable Italian legislation (including D.Lgs. 81/2008 on workplace safety, D.Lgs. 152/2006 on environmental protection), and relevant European Union directives.
- Intellectual Property: All designs, calculations, reports, and documentation produced under this Purchase Order shall become the exclusive property of Chimica Industriale S.r.l. upon full payment. The Chemical Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Chemical Engineer shall maintain strict confidentiality regarding all proprietary processes, trade secrets, and operational data encountered during the engagement in Italy Milan. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance: The Chemical Engineer shall maintain professional liability insurance (RC Professionale) with a minimum coverage of €1,000,000 per occurrence, valid throughout the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Chemical Engineer shall be compensated for all services rendered up to the effective date of termination, plus a reasonable wind-down period.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the Tribunale di Milano, Italy Milan.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Italy Milan region.
