Terms and Conditions of this Purchase Order
- Scope of Engagement: The Chemical Engineer engaged under this Purchase Order shall perform all duties at the Buyer's premises located in Italy Rome, Via Appia Nuova 124, 00183. The Chemical Engineer shall adhere to all operational protocols, safety standards, and confidentiality agreements established by Tecniche Chimiche S.p.A.
- Payment Terms: Payment shall be made within 60 days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-ROME-CE-0047) and shall be submitted to the Buyer's accounts payable department in Rome, Italy. Payment shall be executed via bank transfer to the Supplier's designated Italian bank account.
- Delivery and Commencement: The Chemical Engineer shall commence all services no later than 01 September 2025. All equipment and materials listed in this Purchase Order must be delivered and installed at the Italy Rome site prior to the commencement date.
- Regulatory Compliance: The Chemical Engineer shall ensure full compliance with all applicable Italian national regulations, including but not limited to D.Lgs. 81/2008 (Health and Safety at Work), the Italian Chemical Substances Act, and all relevant European Union directives governing chemical engineering practices in Italy Rome and the broader Lazio region.
- Confidentiality: All technical data, process parameters, proprietary formulations, and operational information accessed by the Chemical Engineer during the term of this Purchase Order shall remain the exclusive property of the Buyer. The Chemical Engineer shall sign a separate Non-Disclosure Agreement prior to commencing work at the Italy Rome facility.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered and materials delivered up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Italy Rome.
