- This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association (JCAA).
- The Chemical Engineer engaged under this Purchase Order shall maintain full professional liability insurance with a minimum coverage of 100,000,000 JPY throughout the duration of the contract in Japan Kyoto.
- All deliverables, including process flow diagrams, safety reports, and analytical data produced by the Chemical Engineer, shall be the exclusive intellectual property of Kyoto Advanced Materials & Process Solutions Co., Ltd. upon full payment.
- Delivery and installation of all equipment items (Line Items 04–06) shall be completed at the buyer's facility in Japan Kyoto no later than 30 July 2025. The Chemical Engineer shall be present on-site during commissioning.
- Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon delivery and successful commissioning in Japan Kyoto, and 30% upon final acceptance of all Chemical Engineer deliverables and the HAZOP report.
- The vendor shall comply with all applicable Japanese environmental regulations, including the Act on Promotion of Soil Pollution Prevention and the Act on the Regulation of Storage and Management of Containers and Packaging, for all activities conducted in Japan Kyoto.
- Any change in scope, additional Chemical Engineer hours, or modification to equipment specifications must be documented in a written Change Order signed by both parties before execution.
- Force majeure events, including but not limited to typhoons, earthquakes, or government-mandated shutdowns affecting the Japan Kyoto region, shall extend delivery timelines on a day-for-day basis without penalty.
- The vendor warrants that all equipment supplied is new, free from defects, and conforms to JIS (Japanese Industrial Standards) specifications. The warranty period is twelve (12) months from the date of commissioning in Japan Kyoto.
- This Purchase Order becomes effective upon countersignature by both parties and remains valid until 15 September 2025, after which it shall be considered null and void unless renewed in writing.
All physical deliveries and on-site services related to this Purchase Order shall be directed to the buyer's process engineering facility located at 2-14-8 Shichijo, Nakagyo-ku, Japan Kyoto, 604-8182. The Chemical Engineer and any vendor personnel must register at the site security office upon arrival and comply with all Japan Kyoto municipal safety protocols, including the mandatory wearing of personal protective equipment (PPE) in designated process areas.
