Payment shall be made via international wire transfer to the vendor's designated account. A 40% advance payment ($129,654.80) is due within ten (10) business days of acceptance of this Purchase Order. The remaining 60% ($194,482.20) shall be due within thirty (30) days following confirmed delivery, installation, and successful commissioning of all equipment at the Japan Osaka facility. Late payments shall incur a penalty of 1.5% per month. All transactions are subject to the terms outlined in this Purchase Order and the master service agreement between the parties.

All equipment shall be shipped via air freight or sea freight (as specified per item) to the Osaka International Container Terminal, Japan Osaka. The vendor is responsible for all packaging, export documentation, and insurance up to the point of delivery at the Japan Osaka receiving dock. The Chemical Engineer assigned to this project, Dr. Yuki Matsuda, shall be present during unloading and initial inspection. Delivery delays exceeding five (5) business days beyond the required delivery date shall result in a penalty of 0.5% of the affected line item value per day, as stipulated in this Purchase Order.

  1. This Purchase Order constitutes a binding agreement upon written acceptance by both parties. All modifications must be made in writing and signed by authorized representatives.
  2. All equipment must comply with Japanese Industrial Standards (JIS) and the regulations of the Osaka Metropolitan Government applicable to chemical engineering laboratories in Japan Osaka.
  3. The vendor warrants that all instruments are new, unused, and free from defects for a period of twenty-four (24) months from the date of installation at the Japan Osaka site.
  4. The Chemical Engineer designated by the buyer shall serve as the primary technical point of contact for all installation, calibration, and acceptance testing activities.
  5. Intellectual property generated during the course of this engagement shall remain the sole property of Osaka Precision Chemicals Co., Ltd., Japan Osaka.
  6. Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Japan Commercial Arbitration Association, with proceedings conducted in Japan Osaka.
  7. The vendor shall provide a minimum of two (2) on-site training sessions for the Chemical Engineer and laboratory staff in Japan Osaka prior to final acceptance of all equipment.

This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void. The Chemical Engineer project timeline in Japan Osaka is critical, and timely acceptance is strongly encouraged to ensure the August 15, 2025 delivery milestone is met.
