- This Purchase Order is issued by Sumitomo Chemical Engineering Solutions Co., Ltd. for the procurement of Chemical Engineer professional services and related technical deliverables to be performed at the company's operational facility located in Japan Tokyo, Shinagawa-ku. All services referenced in this Purchase Order shall be executed in strict accordance with the specifications outlined herein and applicable Japanese national and metropolitan regulations.
- The vendor, Kanto Professional Engineering Consultants K.K., warrants that every Chemical Engineer assigned under this Purchase Order shall possess the requisite academic qualifications (Bachelor's degree or higher in Chemical Engineering from an accredited institution), valid professional licensure in Japan, and a minimum of the experience levels specified in the respective line items. The vendor shall provide certified copies of all credentials prior to the commencement date.
- All work performed by the Chemical Engineer team at the Japan Tokyo facility shall comply with the Japanese Industrial Safety and Health Act, the Act on the Regulation of Storage and Transport of Chemical Substances, and all applicable Tokyo Metropolitan Government environmental and occupational safety ordinances. The Chemical Engineer shall maintain full compliance throughout the contract duration.
- Payment shall be made in Japanese Yen (JPY) via bank transfer to the vendor's designated account in Japan Tokyo within forty-five (45) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-JT-CE-00472) and include the vendor's consumption tax registration number.
- The vendor shall provide a detailed progress report to the purchasing department every thirty (30) days, outlining the activities completed by the Chemical Engineer team, any deviations from the project schedule, and anticipated milestones for the Japan Tokyo site. Failure to submit timely reports may result in a service credit of 0.5% of the monthly contract value per day of delay.
- Intellectual property developed by the Chemical Engineer during the course of this engagement, including but not limited to process designs, optimization algorithms, and proprietary formulations created for the Japan Tokyo facility, shall be the sole property of Sumitomo Chemical Engineering Solutions Co., Ltd. The vendor and the Chemical Engineer shall execute a non-disclosure agreement (NDA) prior to commencing work.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
- The vendor shall maintain comprehensive professional liability insurance with a minimum coverage of JPY 100,000,000 for all Chemical Engineer personnel operating at the Japan Tokyo site. Certificates of insurance shall be provided upon request.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall be compensated for all services rendered and materials procured up to the effective date of termination, as verified by the Chemical Engineer's documented work logs.
