This Purchase Order is issued by Almaty Petrochemical Industries LLP to procure the professional services of a qualified Chemical Engineer for a period of twelve (12) months. The Chemical Engineer shall be assigned to the Almaty production facility located in Kazakhstan Almaty and shall perform duties in accordance with the specifications outlined below. Delivery and Performance: All services under this Purchase Order shall commence on 1 July 2025 and shall be performed at the buyer's facility located in Kazakhstan Almaty. The Chemical Engineer assigned to this contract must hold a valid professional license issued by the Ministry of Industry and Construction of the Republic of Kazakhstan and must possess a minimum of five (5) years of documented experience in petrochemical process engineering.
Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days following the receipt of a valid invoice from the supplier. Payment shall be processed via bank transfer to the supplier's account at JSC National Bank of Kazakhstan, Almaty branch. The total value of this Purchase Order is twenty-four million seven hundred ninety-six thousand eight hundred ten tenge (KZT 24,796,800) inclusive of VAT.
Qualification Requirements: The Chemical Engineer must demonstrate proficiency in process simulation software (Aspen Plus, HYSYS), hazard analysis (HAZOP), and environmental impact assessment. The supplier shall provide copies of relevant certifications, academic transcripts, and professional references prior to the commencement of services in Kazakhstan Almaty.
Compliance and Safety: The Chemical Engineer shall adhere to all occupational health and safety regulations applicable in Kazakhstan Almaty, including but not limited to the requirements of the Kazakhstan Labor Code and the national standards for chemical facility operations. The supplier is responsible for ensuring that the Chemical Engineer carries adequate professional liability insurance valid throughout the Republic of Kazakhstan.
Intellectual Property: All technical reports, process designs, and documentation produced by the Chemical Engineer under this Purchase Order shall become the exclusive property of Almaty Petrochemical Industries LLP upon full payment. The Chemical Engineer shall not disclose proprietary process information to any third party without written consent from the buyer.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the effective date of termination. The Chemical Engineer shall complete all in-progress deliverables and hand over all documentation to the buyer within the notice period.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. If unresolved within thirty (30) days, the matter shall be submitted to the Arbitration Court of Almaty, Kazakhstan Almaty Region, in accordance with the applicable arbitration rules of the Republic of Kazakhstan.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Kazakhstan. All references to Kazakhstan Almaty in this document refer to the city of Almaty and its surrounding administrative region within the Republic of Kazakhstan.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Chemical Engineer services in Kazakhstan Almaty. This document constitutes a binding agreement between the parties upon execution.
