1. This Purchase Order is issued by East African Industrial Solutions Ltd., a company duly registered in Kenya Nairobi, and constitutes a binding agreement upon acceptance by the named supplier.
2. The Chemical Engineer engaged under this Purchase Order shall hold a valid professional registration with the Engineering Board of Kenya (EBK) and shall maintain all necessary insurance coverage throughout the duration of the engagement in Kenya Nairobi.
3. All deliverables, including process designs, safety reports, and training materials, shall be submitted in both hard copy and digital format to the project office located in Kenya Nairobi within the timelines specified in the attached Statement of Work.
4. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with the financial regulations of the Republic of Kenya.
5. The supplier warrants that all work performed by the Chemical Engineer shall comply with the Kenya Building and Construction Authority (KBCA) standards, NEMA environmental regulations, and all applicable local by-laws governing industrial operations in Kenya Nairobi.
6. Any variation or amendment to the scope of work defined in this Purchase Order must be approved in writing by both parties prior to execution. Unauthorized deviations will not be compensated.
7. The supplier shall indemnify East African Industrial Solutions Ltd. against any claims, losses, or damages arising from negligence, non-compliance, or professional misconduct by the Chemical Engineer or any subcontractor engaged in Kenya Nairobi.
8. This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this agreement shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, 1995.
9. The supplier shall maintain confidentiality of all proprietary information, process data, and trade secrets disclosed during the course of this engagement in Kenya Nairobi.
All services and equipment referenced in this Purchase Order shall be delivered to the East African Industrial Solutions Ltd. facility at Plot 47, Industrial Area, Mombasa Road, Kenya Nairobi. Acceptance of deliverables shall be confirmed in writing by the project manager within ten (10) business days of submission. Failure to raise a written objection within this period shall constitute deemed acceptance.
