- Scope of Work: The Chemical Engineer and supporting technical personnel shall perform all services at the buyer's facility located in Mexico Mexico City, specifically at the plant address listed in Section 1. All work shall comply with the Mexican Federal Regulations (Reglamento Federal de Seguridad y Salud en el Trabajo) and local ordinances of the Mexico Mexico City government.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be issued in Mexican Pesos (MXN) and must include the applicable RFC and IVA breakdown. Payment shall be processed via bank transfer to the account designated by Ingeniería Química Especializada, S.C.
- Delivery Schedule: The Chemical Engineer shall commence on-site work no later than July 1, 2025. All deliverables, including technical reports, compliance documentation, and training materials, shall be submitted to the buyer's project management office in Mexico Mexico City within the timelines specified in the attached Statement of Work (Annex A).
- Qualifications: The assigned Chemical Engineer must hold a valid professional license (Cédula Profesional) issued by a recognized Mexican institution, a minimum of ten (10) years of experience in petrochemical process engineering, and current certification in process safety management. Proof of qualifications shall be submitted prior to commencement of work.
- Confidentiality: All proprietary information, process data, and trade secrets disclosed during the execution of this Purchase Order shall be treated as strictly confidential. The Chemical Engineer and all associated personnel shall sign a Non-Disclosure Agreement (NDA) prior to accessing any facility in Mexico Mexico City.
- Liability and Insurance: The service provider shall maintain professional liability insurance with a minimum coverage of MXN $5,000,000.00. The Chemical Engineer shall be responsible for any damages or losses arising from negligence or non-compliance with applicable safety standards in Mexico Mexico City.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall compensate the Chemical Engineer for all services rendered and materials procured up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Commercial Code of Mexico and the applicable civil and commercial laws of the Federal District of Mexico Mexico City. Any disputes shall be resolved through arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Center (CAM).
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Mexico Mexico City metropolitan region.
