All deliverables, on-site inspections, and commissioning activities associated with this Purchase Order shall be performed at the Atlas Industrial Solutions facility located at Zone Industrielle d'Ain Sebaa, Route de Mohammedia, Casablanca 20500, Morocco. The Chemical Engineer shall report to the project management office in Morocco Casablanca no later than 08:00 on the first day of each scheduled work period. All technical documentation and final reports must be submitted in both Arabic and French, in compliance with Moroccan regulatory requirements, with an English summary appended for international stakeholders.
5.1 Acceptance: This Purchase Order constitutes a binding offer. The vendor, ChimiePro Consulting & Engineering SARL, must confirm acceptance of this Purchase Order in writing within ten (10) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
5.2 Performance Timeline: The Chemical Engineer shall complete all design and modeling deliverables (Items 01 through 04) within ninety (90) calendar days from the date of contract signature. On-site supervision (Item 05) shall commence no later than 15 October 2025 and conclude by 30 November 2025. Final documentation (Item 06) must be delivered within fifteen (15) days of commissioning completion.
5.3 Payment Schedule: Payment shall be made in three installments: 30% upon contract signature, 40% upon delivery and acceptance of all design documents, and 30% upon successful commissioning and final documentation handover. All payments shall be made via bank transfer to the vendor's account at Bank of Africa, Casablanca branch, in Moroccan Dirhams (MAD).
5.4 Professional Standards: The Chemical Engineer shall adhere to the professional code of ethics established by the Ordre des Ingénieurs du Maroc and shall maintain valid professional indemnity insurance with a minimum coverage of 5,000,000 MAD throughout the duration of this Purchase Order.
5.5 Intellectual Property: All designs, models, calculations, and documentation produced under this Purchase Order shall become the exclusive property of Atlas Industrial Solutions SARL upon full payment. The Chemical Engineer retains the right to reference the project in professional portfolios with prior written consent.
5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be submitted to the competent courts of Casablanca, Morocco.
5.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or civil unrest in the Casablanca metropolitan area.
