- Acceptance: This Purchase Order constitutes a binding procurement commitment. The Supplier shall confirm acceptance of this Purchase Order in writing within five (5) business days of receipt. Failure to confirm within the stipulated period shall render this Purchase Order null and void.
- Qualification of the Chemical Engineer: The Chemical Engineer assigned to this project must hold a minimum of a Bachelor's degree in Chemical Engineering from an accredited institution, possess at least ten (10) years of relevant experience in petrochemical or process industries, and be registered with the Myanmar Engineers Council. The Supplier shall provide copies of all relevant credentials prior to commencement of work in Myanmar Yangon.
- Work Location: All on-site services shall be performed at the Hlaing Industrial Zone facility, Myanmar Yangon. The Buyer shall provide necessary work permits, site access, and safety induction as required by Myanmar labor and immigration authorities.
- Payment Terms: Payment shall be made in Myanmar Kyat (MMK) via bank transfer to the account specified above. Invoices shall be submitted monthly. Payment is due within thirty (30) calendar days from the date of invoice receipt, subject to satisfactory completion of the deliverables outlined in the Statement of Work.
- Deliverables: The Chemical Engineer shall deliver all process design documents, HAZOP reports, commissioning checklists, training materials, and technical advisory reports in both English and Burmese (Myanmar language) to ensure full comprehension by the local Myanmar Yangon operations team.
- Confidentiality: All technical data, proprietary process information, and business-sensitive documents exchanged under this Purchase Order shall be treated as strictly confidential. The Chemical Engineer and the Supplier shall execute a Non-Disclosure Agreement (NDA) prior to accessing any Buyer information.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the termination date, and the Chemical Engineer shall hand over all work-in-progress documentation.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes arising shall be resolved through arbitration in Yangon, Myanmar, in accordance with the Myanmar Arbitration Law.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters, government regulations, or other events beyond reasonable control, as commonly recognized under Myanmar commercial law.
