- Payment Terms: Net 30 days from date of invoice. Payment shall be made via SEPA bank transfer to the supplier's account as registered in the Netherlands. Late payments shall accrue interest at the statutory rate as defined under Dutch Civil Code Article 6:119.
- Delivery & Commencement: The Chemical Engineer shall commence duties no later than 01 August 2025 at the Amsterdam Industrial Solutions B.V. facility located at Keizersgracht 412, Amsterdam. All equipment listed in this Purchase Order must be delivered and installed prior to the commencement date.
- Scope of Work: The Chemical Engineer's responsibilities are limited to the scope described in Line Items 1 through 3. Any additional work, change orders, or extended engagements must be authorized in writing via a supplementary Purchase Order amendment signed by both parties.
- Compliance & Insurance: The supplier shall ensure that the Chemical Engineer maintains valid professional liability insurance (minimum coverage € 2,500,000) and that all work complies with the Dutch Working Conditions Act (Arbowet) and the European Chemicals Agency (ECHA) guidelines. The supplier is responsible for providing all necessary PPE and safety training prior to site access in Amsterdam.
- Intellectual Property: All process designs, calculations, P&IDs, simulation models, and reports produced by the Chemical Engineer under this Purchase Order shall become the exclusive property of Amsterdam Industrial Solutions B.V. upon full payment. The supplier retains the right to use generic methodologies and pre-existing knowledge.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary process data, trade secrets, and business information exchanged in connection with this Purchase Order. This obligation survives termination for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered and non-cancellable commitments incurred up to the effective date of termination.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising hereunder shall be submitted to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics, provided that the affected party notifies the other within five (5) business days.
- Anti-Corruption: The supplier warrants that no part of the consideration under this Purchase Order has been or will be paid to any public official in the Netherlands or elsewhere in violation of applicable anti-bribery and anti-corruption laws.
