- This Purchase Order constitutes a binding agreement between the Nigerian Industrial Development Corporation (NIDC) and the named Chemical Engineer for the provision of professional engineering services in Abuja, FCT, Nigeria. Both parties acknowledge and accept all terms herein upon signature.
- The Chemical Engineer shall hold a valid registration with the Council for the Regulation of Engineering in Nigeria (COREN) and shall maintain professional indemnity insurance with a minimum coverage of NGN 50,000,000 throughout the duration of this Purchase Order engagement.
- All deliverables under this Purchase Order shall be completed in strict compliance with Nigerian industrial standards, the Federal Capital Territory (FCT) Abuja planning regulations, and applicable environmental legislation of the Federal Republic of Nigeria.
- Payment shall be made in three (3) tranches: 30% upon execution of this Purchase Order, 40% upon completion of the process design and CHAZ report deliverables, and 30% upon successful commissioning and handover of the facility in Abuja.
- The Chemical Engineer shall report directly to the NIDC Project Director stationed at the Abuja Industrial Estate and shall attend weekly progress meetings held every Monday at the NIDC Abuja Operations Division office.
- Any variation or amendment to the scope of work defined in this Purchase Order must be documented in a formal Change Order signed by both parties before additional work commences.
- The Chemical Engineer shall indemnify the Purchasing Entity against any claims, losses, or damages arising from professional negligence, design errors, or non-compliance with Nigerian engineering and safety standards.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- The Chemical Engineer shall not subcontract any portion of the services without prior written consent from the Purchasing Entity. All work shall be performed by the named Chemical Engineer or their directly supervised team based in Abuja.
- This Purchase Order is valid for a period of ninety (90) days from the date of issue. Failure to commence work by the required commencement date shall render this Purchase Order null and void at the sole discretion of the Purchasing Entity.
