- Advance Payment (30%): NGN 3,225,000.00 shall be remitted within 7 working days of the acceptance of this Purchase Order by the Chemical Engineer. Payment shall be made via bank transfer to the account specified in Section 2.
- Milestone Payment (40%): NGN 4,300,000.00 shall be due upon successful delivery and acceptance of the process design package (Item 01) and the site audit report (Item 02) at the Nigeria Lagos facility.
- Final Payment (30%): NGN 3,225,000.00 shall be due within 14 working days of the final acceptance of all deliverables, including the EIA technical chapter, training completion certificates, and printed manuals.
- All payments are subject to the deduction of applicable Nigerian withholding tax (10% for services) as mandated by the Federal Inland Revenue Service (FIRS), Nigeria Lagos State office.
- The Chemical Engineer shall commence work within 5 working days of receiving the advance payment.
- Process design deliverables (Item 01) shall be completed within 45 calendar days from the commencement date.
- Site inspection and audit (Item 02) shall be conducted between Day 30 and Day 35 of the project timeline at the Nigeria Lagos plant location.
- The EIA technical chapter (Item 03) shall be submitted within 60 calendar days from commencement.
- Training sessions (Item 04) shall be scheduled between Day 55 and Day 58 at the buyer's Nigeria Lagos facility.
- All final deliverables (Item 05) shall be handed over no later than Day 70 from the commencement date.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria, with particular reference to the Nigeria Lagos State commercial regulations and the Nigerian Engineering Council (COREN) professional practice guidelines.
- The Chemical Engineer warrants that all services rendered shall be performed in a professional, workmanlike manner consistent with the standards expected of a registered Chemical Engineer in Nigeria Lagos and shall comply with all applicable Nigerian industrial, environmental, and safety regulations.
- The Chemical Engineer shall maintain professional indemnity insurance with a minimum coverage of NGN 50,000,000.00 for the duration of this Purchase Order engagement.
- All intellectual property, designs, calculations, and reports produced under this Purchase Order shall become the sole property of Lagos Industrial Process Solutions Ltd. upon full payment.
- The Chemical Engineer shall not subcontract any portion of the work without prior written consent from the buyer's Procurement Director.
- Any dispute arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- This Purchase Order is valid for 30 calendar days from the date of issue. If not accepted within this period, the buyer reserves the right to cancel or reissue the Purchase Order without liability.
- The Chemical Engineer shall comply with all data protection requirements under the Nigeria Data Protection Act, 2023, particularly regarding any proprietary process data accessed during the Nigeria Lagos site inspection.
