3. Description of Procured Services

This Purchase Order is issued by Northwestern Petrochemical & Industrial Solutions LLC for the engagement of a qualified Chemical Engineer to provide specialized technical services at the company's manufacturing and research facility located in Saint Petersburg, Russia. The Chemical Engineer shall be responsible for the design, optimization, and oversight of chemical processing systems, reactor operations, process safety assessments, and quality control protocols in accordance with all applicable Russian Federation regulatory standards, including but not limited to GOST requirements, Rostekhnadzor safety regulations, and the Federal Law on Industrial Safety of Hazardous Production Facilities (Federal Law No. 116-FZ).

The Chemical Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Chemical Engineering or a closely related discipline from an accredited institution recognized by the Ministry of Science and Higher Education of the Russian Federation. A minimum of seven (7) years of professional experience in petrochemical, pharmaceutical, or industrial chemical manufacturing operations is required. The candidate must demonstrate proficiency in process simulation software (Aspen Plus, HYSYS, or equivalent), hazard and operability (HAZOP) studies, and compliance with international and domestic environmental protection legislation applicable to industrial operations in the Saint Petersburg metropolitan area.

5. Terms and Conditions
  1. Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's facility located in Saint Petersburg, Russian Federation, unless otherwise agreed in writing by both parties. The Chemical Engineer shall report to the designated site office in the Krasnogvardeysky District of Saint Petersburg.
  2. Contract Duration: This Purchase Order covers a period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, subject to renewal by mutual written agreement.
  3. Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of receipt of a valid invoice from the Vendor. All payments shall be processed in Russian Rubles (RUB) via bank transfer to the Vendor's designated account in a licensed Russian Federation commercial bank.
  4. Regulatory Compliance: The Chemical Engineer shall comply with all federal and municipal regulations governing industrial chemical operations in Saint Petersburg, including environmental permits, occupational health and safety mandates, and reporting obligations to Rostekhnadzor and Rosprirodnadzor.
  5. Confidentiality: The Chemical Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary processes, formulations, trade secrets, and operational data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with ten (10) days' notice. Upon termination, all work-in-progress deliverables shall be completed and handed over to the Buyer.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable federal legislation. Any disputes shall be resolved through the Arbitration Court of Saint Petersburg and Leningrad Oblast.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Saint Petersburg, Russia.
6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Chemical Engineer in Saint Petersburg, Russia. This document constitutes a binding procurement instrument and shall be filed in accordance with the Buyer's internal procurement and financial record-keeping policies.
