  1. Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice and certified progress report. A 10% mobilization advance is payable upon execution of this Purchase Order. The remaining balance shall be released in monthly installments tied to milestone completion as approved by the Al-Riyadh Industrial Solutions project manager.
  2. Commencement & Duration: The Chemical Engineer and support team shall report to the project site in Riyadh, Saudi Arabia, no later than 1 July 2025. The total contract duration is six (6) months, extendable by mutual written agreement.
  3. Qualifications: The lead Chemical Engineer must hold a minimum of a Bachelor's degree in Chemical Engineering from an accredited institution, possess at least ten (10) years of experience in petrochemical or process industries, and be registered with the Saudi Council of Engineers (SCE). All supporting engineers must hold valid Saudi professional licenses.
  4. Compliance: All deliverables must conform to Saudi Arabian Standards (SASO), International Organization for Standardization (ISO) 9001:2015, and applicable regulations of the Saudi Ministry of Industry and Mineral Resources. The Chemical Engineer shall ensure all process designs meet the Saudi Green Initiative environmental thresholds.
  5. Confidentiality: The vendor and all assigned Chemical Engineer personnel shall sign a Non-Disclosure Agreement (NDA) prior to accessing any proprietary process data, plant layouts, or operational parameters of the Riyadh facility.
  6. Insurance & Liability: The vendor shall maintain comprehensive professional indemnity insurance of not less than SAR 5,000,000 and workers' compensation coverage for all personnel deployed in Saudi Arabia Riyadh. The vendor assumes full liability for design errors or omissions attributable to the Chemical Engineer's scope.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the vendor shall be compensated for work completed and documented up to the termination date.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through arbitration in Riyadh under the rules of the Saudi Center for Commercial Arbitration (SCCA).
  9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Saudi Arabia Riyadh.

This Purchase Order is issued by Al-Riyadh Industrial Solutions Co. Ltd. and constitutes a binding commitment to procure the Chemical Engineer services described herein for the Riyadh, Saudi Arabia project site. The vendor's acceptance of this Purchase Order shall be confirmed by countersignature below within five (5) business days of receipt.
