- This Purchase Order constitutes a binding agreement between SODICHEM Industries S.A. (hereinafter "the Purchaser") and Ingénierie Chimique Afrique SARL (hereinafter "the Supplier") for the engagement of a qualified Chemical Engineer to perform the services described herein at the Purchaser's facility in Senegal Dakar.
- The Chemical Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Chemical Engineering, possess at least ten (10) years of professional experience in process design and commissioning, and be registered with the Ordre des Ingénieurs du Sénégal (OIS) in Dakar.
- All deliverables under this Purchase Order shall be completed in accordance with the project timeline agreed upon in the attached Statement of Work. The Chemical Engineer shall report directly to the Purchaser's Plant Director in Senegal Dakar on a weekly basis.
- Payment shall be made in CFA Francs (XOF) via bank transfer to the Supplier's designated account in Dakar, Senegal, within thirty (30) calendar days of receipt of a valid invoice and acceptance of the corresponding deliverable.
- The Supplier shall ensure that the Chemical Engineer complies with all applicable Senegalese labor laws, occupational health and safety regulations, and environmental standards as enforced by the Direction de l'Environnement et de la Lutte contre les Déserts (DELD) in Dakar.
- Any modification to the scope of work under this Purchase Order must be documented in a written change order signed by both parties. No additional work by the Chemical Engineer shall be compensated unless explicitly authorized in writing.
- The Supplier warrants that all technical documents, process designs, and safety reports produced by the Chemical Engineer under this Purchase Order shall be original, free from intellectual property infringement, and suitable for submission to the Senegalese regulatory authorities in Dakar.
- In the event of non-performance or breach of this Purchase Order, the Purchaser reserves the right to terminate the agreement with fourteen (14) days' written notice and to seek damages in accordance with the OHADA Uniform Act on Commercial Companies applicable in Senegal.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes arising herefrom shall be submitted to the competent courts of Dakar, Senegal.
- All communications regarding this Purchase Order shall be directed to the Procurement Department of SODICHEM Industries S.A., Zone Industrielle de Mermoz, Dakar, Senegal.
