1. This Purchase Order constitutes a binding agreement between Transvaal Industrial Solutions (Pty) Ltd and the appointed Chemical Engineer upon signature by both parties. All work shall be performed in and around South Africa Johannesburg unless otherwise agreed in writing.
2. The Chemical Engineer shall hold a valid SACNASP professional registration and shall maintain professional indemnity insurance of no less than R5,000,000 for the duration of the contract. Proof of registration and insurance must be submitted prior to commencement of work.

Payment terms: 30% advance payment upon acceptance of this Purchase Order, 40% upon successful commissioning of the plant in Johannesburg, and 30% upon completion of the 12-month support retainer period. 6. Any variation to the scope of work must be submitted as a formal variation request and approved in writing by the Project Manager before additional work commences. No additional charges will be accepted without a signed variation to this Purchase Order.
7. The Chemical Engineer shall report to the site in Kempton Park, Johannesburg, no later than 07:00 on each working day during the commissioning phase. Travel and accommodation within the South Africa Johannesburg metropolitan area are included in the quoted rates.
8. In the event of non-performance or breach of contract, Transvaal Industrial Solutions (Pty) Ltd reserves the right to terminate this Purchase Order with 14 days' written notice and to claim damages in accordance with the laws of the Republic of South Africa.
9. All disputes arising from this Purchase Order shall be resolved through arbitration in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
10. This Purchase Order is governed by the laws of the Republic of South Africa. The courts of the Gauteng Division, Johannesburg, shall have exclusive jurisdiction.
