- This Purchase Order constitutes a binding agreement between Hanul Advanced Materials Co., Ltd. (hereinafter "Buyer") and Seoul Process Engineering Consultants Ltd. (hereinafter "Vendor") for the provision of Chemical Engineer professional services at the designated facility in South Korea Seoul.
- The Chemical Engineer assigned to this Purchase Order must hold a valid Korean Professional Engineer (PE) license in the field of Chemical Engineering and possess a minimum of ten (10) years of experience in polymer process design within the South Korea Seoul industrial corridor.
- All deliverables under this Purchase Order shall be completed in accordance with the Korean Industrial Standards (KS) and the specific technical specifications outlined in Appendix A of the original Request for Proposal (RFP No. RFP-2025-0312).
- The Vendor shall ensure that the Chemical Engineer complies with all occupational safety regulations enforced by the Korea Occupational Safety and Health Administration (KOSHA) while performing duties at the South Korea Seoul facility.
- Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.05% per day as stipulated under the Korean Commercial Act.
- The Vendor is responsible for all travel, accommodation, and per diem expenses incurred by the Chemical Engineer while stationed in South Korea Seoul for the duration of the on-site engagement.
- Intellectual property generated as a direct result of services rendered under this Purchase Order shall be the sole property of the Buyer. The Chemical Engineer and Vendor agree to execute a non-disclosure agreement (NDA) prior to commencing any work.
- This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korea Commercial Arbitration Board (KCAB).
- The Vendor shall not subcontract any portion of the Chemical Engineer services without prior written consent from the Buyer's Procurement Manager.
- This Purchase Order may be amended only by mutual written agreement of both parties. Any changes to scope, timeline, or pricing must be documented in a formal Purchase Order amendment.
